TERMS And conditions

In Consideration of the matters described above and of the mutual benefits and obligations set forth in these terms and conditions, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and Nathalia Rose Events (individually the “Party” and collectively the “Parties” to this Agreement) agree as follows:
1. Services. The “Services Package” refers to the comprehensive wedding planning services provided by Nathalia Rose Events, as further described in this Agreement, including but not limited to the invoice, description of services rendered, timelines, expectations, and any other relevant details (collectively the “Agreement”). The Services Package sets forth the obligations and deliverables from Nathalia Rose Events in connection with the Client's wedding event.
2. Payment, Non-Refundable Retainer, Deposit.
a. Payment. For the services described in this Agreement, Client agrees to pay Nathalia Rose Events
the total amount referenced in the Services Package and any additional charges pursuant to the
Agreement.
b. Retainer. To secure the services of Nathalia Rose Events for the event scheduled on date on the
Invoice, the Client agrees to pay a non-refundable retainer of an amount specified in the Invoice upon signing this Agreement. The Retainer shall be applied toward the total cost of the services. In the event of cancellation by the Client, the Retainer shall be forfeited and retained by Nathalia Rose Events. The Retainer is non-refundable under any circumstances, including but not limited to changes in the event date, location, or postponement. The remaining
balance of the Invoice is due on the date specified by Nathalia Rose Events, but in any event no later than two weeks prior to the event date.
c. Deposit. In addition to the Retainer, the Client agrees to pay an additional deposit in an amount specified by Nathalia Rose Events, which will be held to cover any extra
charges that may arise, including but not limited to overtime fees and mileage as outlined in this Agreement. This Additional Deposit is separate from the Retainer and will not be applied toward
the final price of the services. If additional charges are incurred, they will be deducted from the Additional Deposit. In the event that the extra charges exceed the amount of the Additional Deposit, the Client agrees to pay any outstanding balance of the Invoice is due on the date specified by Nathalia Rose Events. If no additional charges are incurred, or if the total additional charges are less than the amount of the Additional Deposit, any unused portion will be refunded
to the Client within fourteen (14) days after the event. 
d. Late Fee. Failure to pay the balance in full by the specified date may result in the cancellation of services, with no refund of the Retainer. A 5% fee will be assessed to the balance if payment is not received by due date as specified in the Invoice and/or these terms and conditions. 
e. Price Adjustments for Venue or Guest Count Changes: The total price for services may be subject to change if the Client changes the event venue or if the guest count increases from what was originally agreed upon. Nathalia Rose Events will provide the Client with a revised quote for
services based on any such changes, and the Client agrees to cover any additional costs associated with these modifications.

3. Purchase of Items and Travel Expenses. Any items purchased by Nathalia Rose Events on behalf of the
Client for the event, whether on the day of the event or prior, will be billed directly to the Client at the cost of goods. Additionally, if extensive travel is required to acquire these items (defined as travel beyond 25 miles from Nathalia Rose Events ' place of business), a mileage fee of $1/mile will be charged. All such expenses will be invoiced to the Client and are payable upon receipt.
4. Additional Services and Overtime. Any additional services not outlined in this Agreement, whether
planned or unplanned, including but not limited to significant redesigns, extensions of time on the
wedding day, services beyond the agreed-upon scope, or management of activities outside of the agreed-
upon scope, will be considered overtime.

a. Rehearsal Overtime: If Nathalia Rose Events is required to stay beyond the scheduled one-hour
rehearsal due to Client or Client’s guests, an overtime rate of $150 per additional hour will apply.
b. Other Overtime: For any other overtime services required, an overtime rate of $75 per hour will
apply. A minimum charge of four (4) hours at $75 per hour, plus travel expenses, will apply for each day rentals or items are delivered to or stored at the venue before and after the wedding day. If the Client opts not to incur charges for rental delivery oversight, they agree to sign a waiver affirming that a designated person will be onsite to verify that all ordered items are accounted for. Nathalia Rose Events will not be responsible for correcting any errors in the order; it
will be the Client’s responsibility to address any discrepancies. Additionally, the Client must ensure that the designated person provides clear instructions for where items are to be stored or placed, as well as detailed packing instructions for post-event handling.
c. Mileages. A mileage charge of $1 per mile will also apply for these additional services.
5. Payment for Rentals and Subcontracted Nathalia Rose Events. Any rentals or subcontracted Nathalia Rose Events secured by Nathalia Rose Events on behalf of the Client must be paid in full directly to Nathalia Rose Events by the requested deadline. The Client will be provided with proper notice of all associated
costs in advance. Failure to make timely payments may result in the cancellation of Agreements and any retainer or payments already made will be retained by Nathalia Rose Events. If the Client rents any items
from Nathalia Rose Events, the Client agrees to pay the applicable rental fee and a cleaning fee. The Client is responsible for ensuring that all rented items are returned in the same condition as provided. In the
event of any damage, loss, or excessive wear to the rented items, the Client will be responsible for the full cost of repair or replacement, as determined by Nathalia Rose Events. Any outstanding rental or
subcontracted service costs will be deducted from the Client’s deposit.
6. Responsibility for Damage or Loss. The Client agrees to take full responsibility for the care and
preservation of all rentals and accessories provided by Nathalia Rose Events or its subcontractors. The Client shall remain liable for any loss or damage to such items, up to and including the actual replacement value for each missing or damaged item, as determined by the Nathalia Rose Events. Any
costs for damaged or lost items will be invoiced to the Client and must be paid promptly upon receipt.
7. Cancellation by Client /Venue/Acts of God. If the event should cancel for any reason, no portion of
the retainer will be refunded. Should the event need to be canceled by Client, the retainer and all payments made towards the event are nonrefundable. The Nathalia Rose Events reserves the right to terminate this Agreement in the event of a material breach by Client, including but not limited to, timely
payment not made by Client. In the event the Client postpones the event, all services provided by Nathalia Rose Events will immediately cease upon notification of the postponement, unless a new event date is provided at the time of postponement. If no new date is provided within a reasonable time, Nathalia Rose Events reserves the right to suspend all services indefinitely. Any payments already made will be retained by Nathalia Rose Events as compensation for services rendered up to the point of
postponement. Once the Client provides a new event date, Nathalia Rose Events will review and readjust the payment schedule, which may include additional fees due to scheduling changes, inflation, or increased complexity. If the Client requests services to resume after the new event date is established, a non-refundable payment equivalent to the second installment (or 50% of the total agreed-upon amount, whichever is greater) will be required prior to the resumption of services. Nathalia Rose Events reserves the right to decline resuming services if the new date is unavailable or conflicts with other commitments, and no refunds shall be issued for any payments made prior to the postponement.
8. Nathalia Rose Events liability. Nathalia Rose Events shall not be held liable for failure to supply any item or service when prevented from doing so by any cause beyond its control. These causes shall include, but not be limited to, strikes, labor disputes, accidents, earthquakes, thunderstorms, regulations of any
governmental authority, fuel supply, water supply, gas, electricity, or air conditioning if any. These limitations as stated should not be a breach of this Agreement by Nathalia Rose Events. Nathalia Rose Events will not be responsible for any cause and cost of these limitations. Client agrees that their sole remedy for default by Nathalia Rose Events shall be the return of any retainer or any amount of money paid to Nathalia Rose Events pursuant to this Agreement. Client agrees that no demand shall be made for and no suit brought for the recovery of incidental or consequential damages. Nathalia Rose Events makes no additional warranties, express or implied, beyond those specifically mentioned in the Agreement and as such shall not be liable for any loss or damage directly or indirectly arising from this Agreement. Any contradictory statement made by an employee of Nathalia Rose Events shall have no effect or bearing, and
all the terms contained herein shall control. All fees are subject to change for events released with
unknown location or date; as well as for dates that are more than one calendar year in the future.
9. Appropriate Conduct/ Safe Working Environment. The Client(s) expressly agree(s) to take best efforts to provide Nathalia Rose Events and its staff with safe and appropriate working conditions. In the event of circumstances deemed by either Nathalia Rose Events or a bystander to present a threat or implied threat of injury or harm to its staff or equipment, the Nathalia Rose Events reserves the right to cancel all
services remaining under this Agreement and leave the event. At the Nathalia Rose Events discretion, the Nathalia Rose Events may enact a three-strike policy. After the first offense, the Nathalia Rose Events will
make reasonable efforts to notify the Client(s) or a responsible party. If the Client(s) is/are able to respond to the threatening situation in a reasonable amount of time (maximum of 15 minutes), Nathalia Rose Events shall resume work in accordance with the original terms of this Agreement. If the threatening behavior occurs for a second time, the Client(s) will agree to remove the offending person for the remainder of the event. If the behavior occurs a third time, the Nathalia Rose Events will immediately leave the event. If the Nathalia Rose Events leaves the event early due to any offending behavior, the Client(s) expressly agree to relieve and hold Nathalia Rose Events harmless as a result of incomplete event coverage, or for a lapse int he quality of the Nathalia Rose Events’ work, and the Client(s) shall be responsible for payment in full. 10. Proof Approval. Nathalia Rose Events will provide proofs and documentation for the Client's review,
including but not limited to wedding day stationery, timelines for the bridal party and processional, signs, invitations, and save-the-dates. The Client has up to fourteen (14) days from the date of receipt to review and approve the proofs. This includes checking for spelling errors, layout, design, card colors, and any other relevant details. If the Client does not approve or provide feedback within this time frame, the proofs will be considered approved as-is to ensure adherence to the project timeline.
11. Decor Requirements. All decor provided by the Client must be "wedding day ready," with stickers and
price tags removed, batteries inserted, items checked for defects, and linens or drapes ironed. If decor is
delivered onsite, a completed detail tracker and a designated person to show decor placement are
required. Last-minute decor will be set up by Nathalia Rose Events, if possible, but a decor meeting is required at least two weeks prior to the wedding. Decor must be provided in labeled storage bins. If
delivered two weeks in advance, items must be bubble-wrapped if breakable, and an appointed person must be scheduled for item return.
12. In-Person Meeting Fee: For any scheduled in-person meetings, a fee of $75 per hour will apply, with a
minimum charge of four (4) hours per meeting. This fee covers time spent in consultation, planning, and
coordination during the meeting.
13. Assignability. This Agreement is not transferrable by Client without the written consent of Nathalia Rose Events.
14. Indemnification. Client agrees to indemnify and hold harmless Nathalia Rose Events and its servants and agents from any and all claims, liabilities, loss demands, or any actions whatsoever. This includes any
personal injuries, death, or property damages to any persons attending the function hereby contracted for
due to any reason or cause. Client agrees to reimburse Nathalia Rose Events for any expenses or loss including reasonable attorney’s fees and expenses incurred by reason of any such claim being made
against Nathalia Rose Events..
15. Use of Subcontractors: Nathalia Rose Events reserves the right to engage subcontractors, vendors, or other third-party service providers as necessary to fulfill the services outlined in this Agreement. 
16. Copyrights and Intellectual Property. Nathalia Rose Events retains all rights, title, and interest in any and all intellectual property created or used in connection with the wedding planning services, including
but not limited to designs, concepts, documents, proposals, materials, and any other creative works produced in the course of providing the Services Package under this Agreement. Any such intellectual property shall remain the exclusive property of Nathalia Rose Events, and the Client shall have no ownership rights or claims over these works. Nathalia Rose Events reserves the right to use any photographs taken by Nathalia Rose Events in connection with the event for portfolio purposes, marketing
materials, and posting on public platforms, including but not limited to social media and the Nathalia Rose Events website.
17. Travel and Accommodation Requests. For any events requiring travel of more than 75 miles, but less than 125 miles, from Nathalia Rose Events ' place of business, or for events with late-night activities
(ending after 10:00 PM), the Client agrees to provide and cover the cost of hotel accommodations for Nathalia Rose Events  and any required staff. The hotel must be located within a reasonable distance to the
event venue, and in no event farther than 15 miles from the venue. Failure to arrange for or pay for accommodations as described above may result in a delay or cancellation of services, at which point any Deposits or payments already made to Calder's Creations shall be non-refundable. Nathalia Rose Events shall not be responsible for any additional costs or damages incurred by the Client as a result of such delay or cancellation.
18. Destination Weddings and Additional Fees. For all weddings taking place beyond 125 miles from ' place of business  Nathalia Rose Events (“Destination Weddings”), additional fees shall apply, including but not limited to: round-trip airfare, hotel accommodations for 4 to 5 days and 3 to 4 nights (depending on the complexity of the event), and car rentals or transportation between the airport and the venue during the stay. If the Client elects to arrange travel, all bookings must be made in compliance with the specifications provided by Nathalia Rose Events and no later than 2 weeks prior to the wedding. Failure to
comply with these specifications may result in delays or additional charges, and Nathalia Rose Events reserves the right to cancel services if travel arrangements are inadequate, with no refund of any retainer
or payments.
19. Entire Agreement. This agreement constitutes the entire Agreement between the parties.
20. Prevailing Party. In the event of any dispute, claim, or litigation arising out of or related to this Agreement, the prevailing party shall be entitled to recover from the non-prevailing party all reasonable
attorneys' fees, court costs, and any other expenses incurred in connection with the dispute or litigation.
The term "prevailing party" shall include, without limitation, a party who obtains legal relief or a favorable settlement, even if the matter does not proceed to a final judgment or hearing.
21. Time is of the Essence: Time is of the essence in the performance of each party’s obligations under this Agreement.
22. Arbitration. Any dispute, controversy, or claim arising out of or relating to this Agreement, including the breach, termination, or validity thereof, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Vacaville, California and the decision of the arbitrator(s) shall be final and binding on the Parties. Each Party shall
bear its own costs and expenses of arbitration, except as otherwise required by law or as provided in this Agreement, and the prevailing party, as determined by the arbitrator(s), shall be entitled to recover
reasonable attorneys' fees, costs, and any other expenses from the non-prevailing party.
